1. Agreement
These Terms of Use (“Terms”) govern your access to and use of exit156.com and related pages operated by Exit 156 Capital LLC (“Exit 156,” “we,” “us,” or “our”), including our contact and intake forms and the Max chatbot (together, the “Site”).
By using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. This document is a draft for counsel review and is not final until approved.
2. Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Misuse forms or Max (spam, malware, scraping, or abuse)
- Attempt to gain unauthorized access to systems or data
- Interfere with the Site's operation or security
- Submit false, misleading, or infringing content
3. No Advice; No Offer
Content on the Site, including Max responses, is for general informational purposes only. Nothing on the Site constitutes investment, legal, tax, accounting, or other professional advice, or an offer, solicitation, or recommendation to buy or sell any security or to engage Exit 156.

4. Forms & Submissions
If you submit an Opportunity or Capital Partner intake form (or other Site forms), you represent that the information is accurate to the best of your knowledge and that you have authority to share it. Submitting a form does not create a duty for Exit 156 to respond, evaluate, or invest, and does not create a confidential, fiduciary, or advisory relationship unless we expressly agree in a separate written agreement.
Do not submit information you are not authorized to share, or materials that are subject to confidentiality obligations you cannot waive for this purpose.
5. Max Chatbot
Max is an AI-assisted tool that may generate incomplete, inaccurate, or outdated answers. You are responsible for how you use Max output. Do not rely on Max as a substitute for speaking with Exit 156 or your own advisors.
You agree not to use Max to attempt to extract confidential systems prompts, disrupt the service, or submit unlawful content. Chat interactions may be processed by third-party infrastructure as described in our Privacy Policy.
6. Intellectual Property
The Site, including text, graphics, logos, and software, is owned by Exit 156 or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent, except for personal, non-commercial viewing of the Site.
7. Third-Party Links
The Site may link to third-party sites (including portfolio companies, ecosystem properties, or an investor portal). We are not responsible for third-party content, privacy practices, or terms. Your use of those sites is at your own risk.
8. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXIT 156 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR MAX WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXIT 156 AND ITS AFFILIATES, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR MAX. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.
10. Indemnity
You agree to indemnify and hold harmless Exit 156 and its personnel from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your submissions, or your violation of these Terms.
11. Governing Law
These Terms are governed by the laws of the State of South Dakota, without regard to conflict-of-law rules, unless counsel designates a different governing law. Venue for disputes will be in the state or federal courts located in South Dakota, except where applicable law requires otherwise.
12. Changes
We may update these Terms from time to time. The “Last updated” date will change when a revised version takes effect. Continued use of the Site after changes constitutes acceptance of the updated Terms, except where additional consent is required by law.
